CANCELLATION, RESCHEDULING & REFUND POLICY

Effective upon booking and payment

TJS Cognition Ltd provides highly specialised, limited-capacity professional services, including private consultations, executive coaching, strategic advisory services, mentoring, training, immersive programmes, retreats and related professional services.

By making payment, paying a deposit, accepting an invoice, signing an agreement or otherwise confirming a booking, the Client acknowledges and agrees to the following terms.

  1. Reservation of Professional Capacity

A booking is confirmed only when TJS Cognition Ltd has received the required payment in cleared funds, unless otherwise agreed in writing.

Once a booking is confirmed, the agreed dates and/or professional capacity are reserved specifically for the Client and may consequently be unavailable to other clients.

The Client acknowledges that confirmation of a booking may immediately result in TJS Cognition Ltd:

  1. reserving and removing professional diary capacity from sale;
  2. declining other client engagements;
  3. commencing research, assessment, preparation, programme design or strategic planning;
  4. allocating personnel or third-party resources;
  5. making travel, accommodation, venue or logistical arrangements; and/or
  6. incurring other financial commitments and opportunity costs connected with the engagement.
  7. Statutory Consumer Cancellation Rights

Nothing in this Policy excludes, restricts or overrides any statutory rights that cannot lawfully be excluded.

Where the Client contracts as a consumer and the engagement constitutes a distance or off-premises contract to which the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 apply, the Client may have a statutory right to cancel the contract within 14 days of its conclusion.

Where the Client expressly requests that TJS Cognition Ltd commence providing services during that statutory cancellation period, the Client expressly authorises such early performance.

If the Client subsequently exercises a statutory cancellation right after performance has commenced at the Client’s express request, the Client shall remain responsible for payment for services supplied up to the date of cancellation to the extent permitted by law.

Where the services have been fully performed during the statutory cancellation period following the Client’s express request to commence performance and acknowledgement that the statutory cancellation right will be lost upon full performance, that cancellation right shall cease to apply to the extent permitted by law.

  1. Cancellation Following Any Applicable Statutory Cooling-Off Period

Subject always to any rights that cannot lawfully be excluded, all payments are non-refundable following expiry of any applicable statutory cooling-off period, to the fullest extent permitted by law.

This provision protects professional capacity reserved for the Client and the costs, preparation, commitments, and losses that may arise when an engagement is cancelled.

Where the Client contracts as a consumer, any amount retained by TJS Cognition Ltd following cancellation shall be subject to applicable consumer law and shall not exceed amounts that TJS Cognition Ltd is lawfully entitled to retain, including legitimate costs already incurred and losses arising directly from the cancellation.

  1. Thirty-Day Cancellation and Rescheduling Requirement

The Client must provide at least 30 calendar days’ written notice if the Client wishes to cancel or reschedule an agreed session, programme, event, or commencement date.

TJS Cognition Ltd must receive notice in writing at the contact email specified in the Client’s agreement or booking documentation.

The date TJS Cognition Ltd receives written notice determines whether the 30-day requirement has been satisfied.

  1. Rescheduling More Than 30 Days Before the Engagement

Where more than 30 calendar days’ written notice is provided, TJS Cognition Ltd may, at its discretion, permit the Client to transfer the booking to an alternative available date.

Unless otherwise agreed in writing:

  1. only one rescheduling request is permitted;
  2. the replacement date is subject to availability;
  3. the rescheduled engagement must normally take place within 12 months of the original booking date;
  4. payments already made are transferred as credit against the rescheduled engagement rather than refunded;
  5. any additional travel, accommodation, venue, supplier or administrative costs arising from the change shall be payable by the Client; and
  6. if the price of the relevant service has increased by the time of rescheduling, the Client may be required to pay the difference.

Approval of any rescheduling request remains entirely subject to written confirmation by TJS Cognition Ltd.

  1. Cancellation or Rescheduling Within 30 Days

Where the Client cancels or seeks to reschedule an engagement 30 calendar days or fewer before the scheduled date, amounts already paid will be non-refundable to the fullest extent permitted by applicable law.

Any outstanding contractual fees associated with the reserved engagement may also remain payable where permitted by law and under the Client’s agreement.

TJS Cognition Ltd may, entirely at its discretion and without creating any precedent or contractual entitlement, offer a credit, alternative date or other accommodation in exceptional circumstances.

TJS Cognition Ltd must confirm any such accommodation in writing.

  1. Non-Attendance and Late Arrival

Failure to attend a confirmed session or programme, or failure to be available at the agreed time, will be treated as a cancellation by the Client.

No refund, extension or replacement session will be provided for non-attendance, subject to applicable law.

Where a Client arrives late, the engagement will normally conclude at the originally scheduled finishing time and the full fee will remain payable.

  1. Multi-Day Programmes, Retreats and Exclusive Advisory Engagements

For private immersive programmes, retreats, international engagements, and other engagements requiring significant dedicated capacity, TJS Cognition Ltd may incur substantial preparation, opportunity, travel, and logistical commitments well in advance.

Accordingly, all payments relating to such engagements are non-refundable to the fullest extent permitted by law after any applicable statutory cancellation period.

If a Client requests a change of dates, TJS Cognition Ltd may consider transferring the engagement to alternative dates, but is under no obligation to do so unless otherwise stated in the Client’s written agreement.

All irrecoverable third-party costs, including flights, accommodation, venues, transfers, suppliers, production, personnel, el and associated expenses incurred specifically for the Client, will remain the Client’s responsibility.

  1. Instalment Plans

An instalment arrangement is a payment facility and does not convert the engagement into a pay-as-you-go arrangement.

Cancellation by the Client does not automatically terminate the Client’s obligation to pay amounts properly due under the agreement.

Where instalments have been agreed, all payment obligations following cancellation shall remain subject to the terms of the Client agreement and applicable law.

  1. Client Substitution and Transfer

Bookings are personal to the Client and may not be sold, assigned or transferred to another person or organisation without the prior written consent of TJS Cognition Ltd.

TJS Cognition Ltd may refuse a proposed substitution where the replacement client is unsuitable for the service, programme or engagement.

  1. Cancellation or Changes by TJS Cognition Ltd

If TJS Cognition Ltd cannot deliver an engagement as agreed for reasons within its reasonable control, TJS Cognition Ltd will normally offer an alternative date.

Where an alternative date cannot reasonably be agreed, the Client will receive an appropriate refund for services paid for but not delivered, subject to the Client agreement and applicable law.

Nothing in this Policy permits TJS Cognition Ltd to retain payments where doing so would be unlawful.

  1. Events Beyond Reasonable Control

Neither party shall be liable for failure or delay caused by circumstances genuinely beyond that party’s reasonable control, subject to applicable law.

Where such circumstances affect delivery, the parties will use reasonable efforts to reschedule, modify the method of delivery or otherwise find an appropriate solution.

Any treatment of payments, refunds, credits or irrecoverable costs will be determined in accordance with the Client agreement and applicable law.

  1. Discretionary Exceptions

Illness, family circumstances, travel disruption, changes in employment, business commitments or other personal circumstances do not automatically create an entitlement to a refund or rescheduling.

TJS Cognition Ltd may make an exception where it considers the circumstances appropriate. Any exception is entirely discretionary, must be confirmed in writing and shall not constitute a waiver of this Policy or establish a precedent for any future booking.

  1. Written Variations Only

No employee, contractor, representative or other person has authority to vary this Cancellation, Rescheduling & Refund Policy verbally.

Any variation must be expressly confirmed in writing by an authorised representative of TJS Cognition Ltd.

  1. Relationship With Client Agreement

This Policy forms part of the contractual terms governing the Client’s engagement with TJS Cognition Ltd.

Where a separately signed Client Agreement contains provisions specifically negotiated for a particular engagement, those provisions shall prevail to the extent of any inconsistency.

  1. Governing Law

Unless otherwise expressly agreed in writing, the laws of England and Wales govern the agreement and this Policy, and the courts of England and Wales have jurisdiction, subject to any mandatory rights available to consumers under applicable law.

CLIENT ACKNOWLEDGEMENT

By confirming and/or paying for a booking, the Client confirms that they:

  1. have read and understood this Cancellation, Rescheduling & Refund Policy;
  2. understand that TJS Cognition Ltd reserves limited professional capacity specifically for confirmed clients;
  3. understand the 30-calendar-day cancellation and rescheduling requirement;
  4. understand that payments may become non-refundable following any applicable statutory cancellation period, to the fullest extent permitted by law;
  5. accept responsibility for costs and commitments incurred specifically in connection with their engagement; and
  6. acknowledge that nothing in this Policy affects statutory rights that cannot legally be excluded.
